All charges must be disclosed to and approved by the Client before payment.

Booking Retainer & Final Payment

A booking retainer equal to 30% of the agreed service fee is required to reserve DJ SL's availability for the event date. The retainer is applied toward the total contracted amount.

The booking is confirmed once the Agreement is signed by the required parties and the retainer has been received.

The remaining 70% is due no later than seven (7) calendar days before the scheduled event, unless an alternative payment schedule is agreed upon in writing.

The retainer is non-refundable only as provided in Section 7 and to the extent permitted by applicable law.

If payment is not received by the agreed deadline, management may provide written notice of the outstanding balance. Continued nonpayment may result in suspension or cancellation of services in accordance with the Agreement and applicable law.

Payment Processing & Booking Management

DJ SL is professionally represented and managed by Underestimated Diamond.

Depending on the booking arrangement, payments may be made directly to DJ SL or processed by Underestimated Diamond under an appropriately authorized and permitted payment arrangement.

The designated payment recipient will be identified on the applicable invoice.

Underestimated Diamond may coordinate booking inquiries, service agreements, invoice administration, payment follow-ups, and event communications on DJ SL's behalf.

Unless expressly disclosed and agreed upon, management commissions are handled separately from the Client's contracted entertainment fee.

Any payment collected by Underestimated Diamond on DJ SL's behalf must comply with the applicable payment processor's requirements and the parties' written management arrangement.

Cancellation & Refunds

All cancellation requests must be submitted in writing to DJSL617Booking@gmail.com.

Client-Initiated Cancellation

For purposes of this section, the booking retainer is 30% of the total contracted service fee, and all cancellation periods are measured from the scheduled event date.

• More than 14 calendar days before the event: The booking retainer is retained, and any additional payments received are refunded.

• 8–14 calendar days before the event: The booking retainer is retained, and 50% of payments received above the retainer are refunded.

• 7 calendar days or fewer before the event: Payments received are retained, subject to applicable law.

These agreed cancellation amounts are intended to reasonably account for reserved availability, lost booking opportunities, preparation, and other anticipated losses, and not to impose a penalty. They apply only to the extent enforceable under applicable law.

Cancellation by DJ SL

If DJ SL cancels for reasons within the Service Provider's control, the Client will receive a full refund of amounts paid for the affected services unless the Client voluntarily agrees in writing to an acceptable replacement or rescheduled performance.

Rescheduling

Rescheduling is subject to DJ SL's availability and written management approval. Any additional fees or changes to the original booking terms must be agreed upon in advance.

Refund Processing

Approved refunds will be processed through the original payment method whenever reasonably possible. Processing times may vary by payment provider.

Overtime & Additional Services

The agreed performance fee covers only the hours and services specified in this Agreement.

Any request to extend DJ SL's performance is subject to availability and approval.

Agreed Overtime Rate: $[Contract Amount] per [Hour / Increment]

Additional performance time must be approved by the Client before services are extended.

Requests for additional sound equipment, microphones, lighting, expanded venue coverage, or other services may result in additional charges.

All additional charges must be disclosed and authorized before the relevant services are provided. Payment for additional services will follow the terms of the approved invoice or written addendum.

Travel & Hospitality

For bookings requiring travel outside DJ SL's agreed local service area, reasonable travel and hospitality requirements may apply.

Such arrangements may include airfare, ground transportation, parking, tolls, suitable overnight accommodations, meals, and equipment transportation.

All applicable expenses, responsibilities, and arrangements must be confirmed in writing before the booking is finalized.

For international engagements, the parties will determine responsibility for any required visas, work permits, travel insurance, and related documentation. DJ SL is not required to perform where necessary legal work authorization has not been obtained.

Client-requested changes resulting in additional travel expenses require written approval.

Any additional travel requirements will be addressed in a separate Travel & Hospitality Rider when appropriate.

Venue Requirements & Equipment

The Client is responsible for providing accurate venue information and ensuring reasonable access for equipment loading, unloading, setup, and breakdown.

The Client shall provide a safe and appropriate performance environment, including adequate electrical power, reasonable protection from weather, and space suitable for the agreed setup.

Any additional sound, lighting, staging, or equipment requirements must be confirmed before the event.

The Client is responsible for obtaining applicable venue permissions, permits, and public-performance music licenses associated with the event, to the extent required by law and not otherwise supplied by the venue or organizer.

Client Responsibilities & Event Coordination

The Client agrees to provide accurate event information, a clear event timeline, and reasonable advance notice of any important changes.

The Client is responsible for coordinating venue access, guest logistics, and relevant event arrangements.

DJ SL and Underestimated Diamond will make reasonable efforts to accommodate music preferences, special requests, and event programming communicated in advance.

Specific song requests are subject to availability, appropriateness, and professional judgment. No particular song or sequence is guaranteed unless expressly agreed upon.

Safety & Professional Conduct

The Client shall maintain a reasonably safe working environment for DJ SL and any accompanying personnel.

Harassment, threats, violence, unsafe electrical conditions, or conduct creating a significant safety risk will not be tolerated.

DJ SL may suspend performance where an immediate safety concern exists. If the concern cannot be reasonably resolved, services may be discontinued after notice to the Client or designated event representative where practicable.

Any fee or refund consequences will depend on the cause of the unsafe condition, services already performed, applicable law, and the other terms of this Agreement.

Force Majeure & Unforeseen Circumstances

Neither party shall be responsible for a delay or failure to perform caused by circumstances beyond its reasonable control, including severe weather, natural disasters, government restrictions, widespread transportation disruptions, or other qualifying events.

The affected party shall notify the other as promptly as reasonably possible and make reasonable efforts to minimize disruption.

The parties will first discuss reasonable alternatives, including rescheduling where practical.

If performance becomes impossible and no alternative is agreed upon, the parties will document any refundable amounts, services already performed, and specifically agreed nonrecoverable expenses, subject to applicable law.

This section does not excuse a party from obligations that arose before the qualifying event or that remain legally enforceable.

Performance Standards & Substitution

DJ SL will make reasonable professional efforts to deliver the agreed entertainment services.

If illness, emergency, or another serious circumstance prevents DJ SL from performing, management will notify the Client as soon as reasonably possible.

A substitute DJ may be proposed but will not be assigned without the Client's written approval.

If the Client declines the substitute and the original services cannot be provided, the refund provisions applicable to cancellation by DJ SL will govern, unless a qualifying force majeure event requires different treatment.

Photography, Recording & Promotional Use

DJ SL may appear in photographs or recordings taken during the event, subject to venue rules and any written restrictions agreed upon with the Client.

Neither DJ SL nor Underestimated Diamond may use identifiable private guests, private wedding moments, or Client-provided media for commercial promotion without obtaining any consent required by applicable law.

Any professional recording, livestreaming, commercial distribution, or promotional use of DJ SL's performance must be separately agreed upon where necessary.

Nothing in this Agreement transfers ownership of DJ SL's name, likeness, professional branding, or original intellectual property to the Client.

Liability & Damages

Each party is responsible for losses arising from its own negligence, misconduct, or breach of this Agreement to the extent provided by applicable law.

Neither party shall be liable for indirect or consequential losses except where such limitations are prohibited by law or expressly excluded from limitation.

Nothing in this Agreement limits liability that cannot lawfully be excluded, including liability arising from willful misconduct or other legally protected claims.

Any dispute involving event damage, equipment damage, or personal injury will be evaluated according to the facts and applicable law.

Agreement Modifications

Any material modification to performance hours, venue, scope of services, pricing, or payment arrangements must be documented and approved in writing by the authorized parties.

Email confirmations and electronically signed addenda may serve as written approvals where legally valid.

Verbal discussions do not alter this Agreement unless subsequently confirmed in writing.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of Massachusetts, without overriding any mandatory consumer protection laws that apply to the booking.

The parties agree to make a good-faith effort to resolve disputes through written communication before pursuing formal remedies.

Any court proceedings shall be brought before a court with lawful jurisdiction over the parties and dispute.

Entire Agreement

This Agreement, together with the approved invoice and any expressly incorporated riders or written addenda, represents the complete agreement between the parties regarding the engagement.

If any provision is found unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

Neither party may assign its material obligations without the other party's written consent, except as otherwise expressly permitted under this Agreement.

Acceptance & Signatures

By signing below, the parties acknowledge that they have reviewed, understood, and agreed to the terms of this Performance & Entertainment Services Agreement.
